Slaughter and May is advising GSK on its $10.6bn acquisition of Nuvalent

Slaughter and May is advising GSK plc (“GSK”) on the UK aspects and financing of its acquisition of Nuvalent, Inc. (“Nuvalent”) for approximately $10.6bn. Nuvalent is a clinical-stage biopharmaceutical company focused on creating precisely targeted therapies for patients with cancer, designed to overcome the limitations of existing therapies for clinically proven kinase targets. GSK is a global biopharmaceutical company with a purpose to unite science, technology and talent to get ahead of disease together.

The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions.

Slaughter and May supported GSK’s in-house legal and treasury teams and advised in collaboration with Davis Polk (GSK’s US counsel on the acquisition).
