Sally advises on a broad range of corporate and commercial transactions (including private acquisitions and disposals, public takeovers, joint ventures, placings, rights issues and other secondary raisings) and general advisory matters (including corporate governance, activism and takeover defence and other crisis management). Her client base is a mix UK and US listed and large private corporates, as well as PE houses and hedge funds.

Highlights include advising:

  • Diageo on its proposed disposal of its Nigerian listed subsidiary, Guinness Nigeria, to Tolaram
  • Redrow on its proposed all-share combination with Barratt Developments
  • The Restaurant Group on its recent activist campaign, the disposal of its Leisure business and its takeover by Apollo
  • Essentra on all elements of its strategic review, including the Class 1 disposals of its packaging and filters divisions
  • HPS Investment Partners on all of its UK investments, including, most recently, its acquisition of Barclays’ asset finance business, and its majority investment in Nucleus, a leading investment platform provider
  • Walmart on the sale of a majority stake in Asda to a consortium comprising the Issa brothers and TDR Capital for an enterprise value of £6.8 billion
  • William Hill on its takeover by Caesars Entertainment. The transaction values William Hill at approximately £2.9 billion
  • IAG (the holding company for BA and other airlines) on its rights issue to raise up to €2.75 billion
  • INEOS on its acquisition of BP’s Global petrochemicals business for $5 billion
  • GlaxoSmithKline on its major three-part inter-conditional transaction with Novartis (in particular, on its global consumer healthcare joint venture)
