Slaughter and May is advising Song Capital in connection with financing of the acquisition of Spire Healthcare Group

Slaughter and May is advising Song Capital on a £500mn financing of the c. £1bn recommended cash offer for FTSE 250 member Spire Healthcare Group plc by Tulip UK Bidco Limited, a newly formed company to be indirectly owned by a consortium of funds managed or advised by Toscafund, Three Hills and Ares Management.

The financing will be secured against a portfolio of Spire hospitals and is Song Capital’s fifth large-scale healthcare financing over four years. Slaughter and May have now advised Song Capital on over £2bn of innovative property-backed financing transactions since May 2024.
