Gareth’s practice covers all direct taxes, stamp duties and value added tax with a strong focus on corporation tax. He has extensive experience of corporate transactions, including, in particular, mergers and acquisitions (public, private, domestic and cross-border) and group reconstructions.

Recent highlights include advising:

  • UKAR on:
    • its £15bn sale of Northern Rock to Cerberus and redemption of its Granite securitisations
    • its £13bn sale of assets from Bradford & Bingley and associated stapled financing
    • the disposal by NRAM of residential owner-occupied mortgages and unsecured loans to Citibank N.A. for a total consideration of £4.9bn
  • Standard Life Aberdeen on the £3.24 billion sale of its insurance business to Phoenix Group
  • Standard Life on:
    • its merger with Aberdeen Asset Management to create Standard Life Aberdeen plc
    • the disposal of its Canadian business for CAN$4 billion
    • the acquisition of Ignis Asset Management 
  • Ocado Group on its IPO, its partnership with Morrisons, and its online grocery retail joint venture with Marks and Spencer Group
  • Ørsted on the disposal of a 50% interest in the Hornsea 1 offshore wind farm to Global Infrastructure Partners for c.£4.46bn
  • Cineworld on its combination with the cinema operations of Cinema City International and its subsequent US$3.6 billion acquisition of Regal Entertainment

Gareth has significant expertise on private equity transactions, including advising:

  • Värde Partners, on its strategic £60 million equity investment in the UK specialist bank Masthaven
  • Infinis group of companies in connection with its IPO and exit of Terra Firma from the group
  • Blackstone on the investment by funds and accounts advised by its Tactical Opportunities business for a minority stake in Beauparc Utilities Holdings Limited

Gareth is ranked for Corporate Tax in the latest editions of Chambers UK, Chambers Europe and Chambers Global. He listed as a key lawyer for Corporate Tax in The Legal 500, 2020 and is also listed in the latest edition of Who's Who Legal. Gareth writes regularly for tax publications, is a member of the Tax Committee of the British Private Equity & Venture Capital Association and is on the consultation board for LexisNexis Tax PSL.
