Slaughter and May is advising RWS on the acquisition of Acolad

Slaughter and May is advising RWS Holdings plc, a global AI solutions company, on its proposed acquisition of Acogroup. Acogroup, which together with its subsidiaries, operates under the Acolad brand, is a leading global provider of language and content services operating across 22 countries in Europe and North America. The proposed acquisition will significantly expand the enterprise client base to which RWS can bring its AI platforms, while strengthening RWS’s leadership in regulated industries and supporting RWS's shift towards larger, multi-year client relationships.

Closing of the transaction is expected by the end of March 2027, following completion of French Works Council consultation processes and subject to obtaining certain regulatory approvals and foreign investment clearances.

Slaughter and May worked as part of an integrated team with the RWS in-house legal and corporate development teams, led by Jane Hyde (Group General Counsel and Company Secretary) and Joseph Ayala (VP of Strategy and Corporate Affairs), and BDGS Associés, who advised on the French law aspects of the acquisition.
