Philippa has significant experience across the full spectrum of employment and incentives advisory, transactional and litigation matters, with particular knowledge of complicated and reputationally sensitive employment and remuneration matters.

Her typical advisory work includes supporting listed and private companies in relation to executive recruitments and terminations, grievances and disciplinary matters, corporate governance and the application of malus and clawback. She also advises on the employment and incentives aspects of public and private transactions including private sales and acquisitions, capital raisings and public takeovers.

Philippa’s recent transactional highlights include advising:

  • Capricorn Energy plc on the employment and incentives aspects of its proposed merger with Tullow Oil and proposed reverse takeover of NewMed Energy
  • John Wood Group plc on the employment and transitional servicing aspects of the divestment of its Built Environment consulting business to WSP Global
  • Marstons plc on the employment and incentives aspects of its JV partnership with Carlsberg
  • Micro Focus International plc on the employment and incentives aspects of its takeover by OpenText Corporation
  • Prudential plc on employment and incentives aspects of the demerger of Jackson
  • Schroders plc on the employment and incentives aspects of its 75% acquisition of Greencoat Capital, one of Europe’s largest renewable infrastructure manager
  • Signature Aviation plc on the employment and incentives aspects of its takeover by a consortium comprising Blackstone, Global Infrastructure Partners and Cascade
  • Silicon Valley Bank UK Limited on the consequences for its own financial position following its parent, Silicon Valley Bank, being placed into receivership by the Federal Deposit Insurance Corporation
  • Walmart Inc. on the sale of Asda to a consortium comprising the Issa brothers and TDR Capital
  • Ultra Electronics Holding plc on the employment and incentives aspects of its takeover by Advent
