Jack has a broad international corporate practice advising corporates and sponsors on transactions across a range of sectors and geographies. He specialises in private M&A, public takeovers and mergers, joint ventures and capital markets. He also advises clients on a day-to-day basis on shareholder activism, takeover defence, corporate governance, disclosure obligations and crisis management.

  • GSK on various matters including:
    • its buyout of Novartis’ interest in their consumer healthcare joint venture
    • the creation of its consumer healthcare joint venture with Pfizer
    • the sale of its Thermacare business to Angelini S.p.A.
    • the sale of its shares in Haleon, the listed consumer healthcare business demerged from GSK
  • SEGRO on various matters including its entry into a joint venture with Pure DC to develop a fully-fitted data centre

  • Ocean Wilsons on
    • the disposal of its majority stake in the Brazilian port and maritime logistics operator, Wilsons S.A. 
    • its return of £123 million to shareholders by way of tender offer
    • its all-share combination with Hansa Investment Company by way of Bermudian scheme of arrangement, as well as the related Bermudian litigation relating to the scheme.
  • Wilson Sons and Ultranav on the sale of their respective interestes in their Brazilian joint venture, Wilson Sons Ultratug, to Tidewater Inc. 
  • Harbour Energy on its participation in the Southern Energy floating liquified natural gas export project in Argentina

  • BlackRock and KRR on their US$1 billion disposal of indirect interests in ADNOC Oil Pipelines LLC to the Abu Dhabi investment firm Lunate

  • Rolls-Royce on various matters, including the creation of its joint venture, Rolls-Royce SMR Limited, to develop small modular nuclear reactors

  • Ultra Electronics on its £2.6 billion takeover offer by Cobham
  • Deutsche Börse on its €5.3 billion acquisition of Allfunds Group PLC

  • Nationwide Building Society on its £2.9 billion acquisition of Virgin Money UK PLC
