Senior Counsel

Eleanor is a Senior Counsel in our Corporate team. Her practice covers all aspects of corporate and M&A work including private acquisitions and disposals, joint ventures and shareholder arrangements, public takeovers, venture capital and growth companies. She has particular expertise advising domestic and international clients on major strategic projects, with a strong focus on the energy and infrastructure space. 

Highlights include advising:

  • Schroders plc on the acquisition of an initial 75% shareholding in Greencoat Capital (a specialist investment manager focussing on renewable energy infrastructure investing, including wind, solar, bioenergy and heat) and related advice on Greencoat’s ongoing management and structuring.
  • Castleton Commodities International LLC on its subsidiary’s equity investment in Battery Energy Storage Systems development company, Lower 48 Energy BESS Ltd.
  • Kohlberg Kravis Roberts & Co. L.P. on the acquisition of Viridor Limited (one of the UK's leading recycling and residual waste businesses) by one of its infrastructure funds for an enterprise value of £4.2 billion, and on subsequent reorganisations and restructurings of the Viridor Group.
  • OVO Energy on its strategic partnership with European energy supplier, Eni gas e luce, a wholly owned subsidiary of Italian energy firm Eni SpA.
  • Royal Dutch Shell on its £50bn recommended cash and share offer for BG Group plc.
  • Aviva on the sale of a majority stake in Aviva Singapore to a consortium including Singlife and TPG for cash consideration of SGD 2 billion and a retained 25% shareholding in the new combined group.
  • Daily Mail and General Trust plc (“DMGT”) on the £3.1 billion reorganisation of DMGT.
  • Marston’s PLC on the disposal of its 40% stake in Carlsberg Marston’s Limited.
