Infrastructure and Energy (I&E)

We advise on the full range of matters for Infrastructure & Energy (I&E) clients. Our advice often spans the project life cycle and includes formation of joint ventures and structuring of shareholder arrangements, as well as other M&A aspects (including asset level DD); all financing, hedging and credit support arrangements; offtake, power trading and energy services arrangements; construction and O&M arrangements; real estate and consents; regulatory advice; and dispute resolution.

We have extensive experience advising on I&E deals across the world, including transactions in renewables, oil and gas, nuclear, water and waste, mining, airports, rail, stadia, telecommunications and other networks.

We are frequently instructed on matters of key significance to our clients, which means that we focus on the most high-value, complex deals in the sector, requiring innovative thinking and highly creative and non-standardised advice.

We received a commendation for Energy & Renewables in The Times Best Law Firms 2020, and were shortlisted for the 2019 Energy and Infrastructure Team of the Year in The British Legal Awards and Energy & Infrastructure Projects Team of the Year in The Lawyer Awards.

Our work with Ørsted won us the European Wind Deal of the Year at the IJL Global (Project Finance and Infrastructure) Awards and the Europe Renewables Deal of the Year at the Project Finance International Awards, and we were shortlisted for Innovation in legal expertise: Managing complexity and scale in the FT Innovative Lawyers Awards 2018.

Oil and gas

In the last 5-10 years, we have advised on more ‘big ticket’ oil and gas deals on the European Continental Shelf than any other firm. We have worked on more than 25 large (>$1 billion) oil and gas deals in the last 18 months.

Our clients include Genel, Hitec Vision, INEOS, Kosmos, Maersk Oil, Premier Oil, PTTEP, Puma Energy, Repsol, Seadrill, Shell, Trafigura, Valaris and Vitol.

Conventional power, renewables and energy supply

We have an unrivalled conventional power and renewables practice. For example, our work includes the largest and most ground-breaking projects in the offshore wind sector, where we have advised the world’s largest offshore wind company, Ørsted, on all of its UK project financings and major wind projects. In addition, we have been involved in some of the key deals reshaping the UK energy market, including OVO’s acquisition of SSE’s household energy and services business.

Our clients include Centrica, Contour Global, Drax, Mitsubishi, Ørsted, OVO, RWE, the UK Government and YTL.

Infrastructure

We are active in all of the principal infrastructure sectors worldwide, including power generation, transmission, distribution and storage, midstream, and downstream oil and gas, water and waste, airports, roads, rail, ports, logistics, stadia, telecoms (masts, cable and fibre), other networks and social infrastructure.

Our clients include BlackRock, Global Infrastructure Partners (GIP), INEOS, Legal & General, Lendlease, MTR Corporation, OMERS, Ørsted, PSPIB, Vodafone and Wren House.

KEY EXPERIENCE

Ørsted

We have advised Ørsted on all of their project financed UK offshore wind projects since 2014, including the original development of their HoldCo financing structure. Highlights include:

  • the disposals of a 50% interest in the 1.218GW Hornsea 1,659MW Walney Extension, 573MW Race Bank and 210MW Westermost Rough offshore wind farms; and
  • the acquisition of the project companies established by Siemens Project Ventures and Mainstream Renewable Power to develop the Hornsea Zone, with a potential of 3GW offshore wind capacity, and ongoing advice for matters on its investments in the Hornsea projects.
Mitsubishi / OVO

We advised Mitsubishi Corporation on its acquisition of a 20% stake in OVO, and OVO’s subsequent acquisition of SSE’s GB household energy and services business.

Premier Oil

We have advised Premier Oil on various matters including its financial restructuring, the acquisition of E.ON's North Sea business, takeover of Encore Oil and the acquisition of Oilexco North Sea Limited.

Global Infrastructure Partners (GIP)

We advised Global Infrastructure Partners (GIP), the leading independent infrastructure investor, on the sale together with its co-investors of a 50.01% shareholding in London Gatwick Airport to VINCI Airports.

Hyphen Hydrogen Energy

We are acting as lead global counsel to Hyphen Hydrogen Energy on the multi-billion US dollar structuring and development of a vertically integrated large scale green hydrogen project in Namibia including renewable generation, water desalination, electrolysis, hydrogen and ammonia production, storage, transport and shipping, and associated grid and port infrastructure.
