Slaughter and May, Hong Kong, is advising Swire Beverages Holdings Limited, a subsidiary of Swire Pacific Limited, on its acquisition of the Coca-Cola bottling operations in Vietnam and Cambodia for a consideration of US$1,015 million pursuant to the share purchase agreements with a subsidiary of The Coca-Cola Company entered into on 18 July 2022.
Subsidiaries of the target companies are engaged in the business of the preparation, packaging, distribution and sale of ready-to-drink beverages in Vietnam and Cambodia, bearing trade marks owned by Coca-Cola and its subsidiaries and affiliated companies. The acquisition will be the Swire Pacific group’s first investment in the beverages market in South East Asia and will expand its beverages business into one of the most rapidly growing beverages markets.
Slaughter and May, Hong Kong is working alongside Allen & Gledhill (Singaporean counsel), Bun & Associates (Cambodian counsel) and YKVN (Vietnamese counsel).
