Charter International - Recommended offer by Colfax Corporation12 Sep 2011
Slaughter and May is advising Charter International PLC ('Charter') on a recommended cash and share offer to be made by a wholly-owned subsidiary of Colfax Corporation for Charter which values the company at approximately £1,528 million.
It is proposed that the acquisition will be implemented by way of a court-sanctioned scheme of arrangement or if Colfax elects a takeover offer to Charter shareholders.
The recommended offer was announced on 12 September 2011.
Slaughter and May also advised Charter on the preliminary approach by Melrose which was rejected by the Board of Charter.
Charter is a supplier of welding equipment and industrial compressors and Colfax, headquartered in the U.S., is a global supplier of a broad range of fluid handling products.
