Jan’s practice focuses on financial regulation, with particular emphasis on corporate and commercial transactions. He acts for a broad range of financial institutions, including banks, insurance groups and asset managers, on regulatory matters and investigations, cross-border and domestic mergers and acquisitions and outsourcings.

Jan's work involves:

  • extensive advice on regulatory capital and on capital structures of new businesses as well as capital structures to facilitate acquisitions
  • presenting large projects to the FSA and acting for clients seeking FSA authorisations and approvals

He has up to date insights into the FSA’s developing policy on matters of critical strategic importance to banks and other financial services businesses. Much of his focus is on presenting the complex issues involved in a fundamentally straightforward way, facilitating the understanding both of clients and regulators of transactions, business models and structures.

Jan has led Slaughter and May teams on a number of major M&A and strategic outsourcing transactions in the banking, insurance and asset management sectors in recent years.

He has also led the financial regulatory work on major transactions such as Standard Chartered Bank’s acquisition and integration of American Express Bank in the UK and a large number of other jurisdictions, and transactions for GE, Santander, Prudential, Legal & General, Aviva and AXA UK.

Jan is listed as a leading individual in the 'Financial Services: Non-contentious Regulatory' section of Chambers UK, 2012.

Jan’s publications include chapters in 'Takeovers: Law and Practice' (Butterworths, 2005 ), 'Annotated Companies Acts' (Oxford University Press, 2007 to the present) and 'Investment Management Law and Practice' (Oxford University Press, 2009 ).  He is a regular contributor to PLC Magazine and is a member of the PLC Financial Services Consultation Board. Jan is also the contributing editor of 'The Banking Regulation Review' (Law Business Research, 2010 - 2011 ).
