Our key experience includes advising on:
- structuring complex cross-border transactions involving liaison with lawyers and regulators in multiple jurisdictions
- the acquisition or sale of a fund management business, whether as part of an international banking or insurance group or as a single operating business
- the structure of fund manager operations to accomplish objectives as profitably as possible while at the same time complying with all applicable regulatory and fiscal regimes. Our clients include both established businesses and new ventures, typically with significant external backing: examples include Polar Capital LLP, the Olivant group, Consulta, Development Partners International LLP and Neptune Investment Management
- emerging markets - ranging from the establishment of the first funds for international investment in countries such as Oman, the Philippines, Taiwan and Saudi Arabia to devising innovative structures to enable institutional investors to obtain exposure to investment risk in Russia and Eastern Europe, Asia, South America, the Middle East and, most recently, in the African continent. We have yet to advise on investment in the Arctic or Antarctica - but look forward to doing so!
- product structures and distribution, whether for UCITS and other retail products or private institutional funds with complex structured finance, encompassing listed and unlisted open-ended and closed-ended companies, limited partnerships and their various equivalents in other jurisdictions. Our clients are active in both the traditional and alternative (private equity, hedge fund and property) sectors
- investment fund launches and capital raising and mechanisms for the realisation of value for shareholders and handling the conflicts of interest that often arise where there are unsatisfied minority investors
- all aspects of fund management, whether structuring, reorganising, amalgamating, expanding or terminating a fund or the regulatory and fiscal restraints and possibilities for managers, investment advisors, custodians, brokers and other service providers
