Infragas Norge - Purchase of Shell's stake in Norway's Gas Transport System

Slaughter and May is advising Infragas Norge AS on a binding agreement to purchase A/S Norske Shell's interests in natural gas transport infrastructure joint venture Gassled from A/S Norske Shell for NOK3,925 million (US$730 million).
 
Gassled is Norway’s integrated gas transportation system and processing facilities, which transports most of the gas production on the Norwegian Continental Shelf (NCS) to consumers on the European continent and in the United Kingdom. It is a joint venture established in 2003 and provides transportation services on an open access basis to producers on the NCS.
 
The agreement, which was announced on 1 September 2011, is subject to approval by the relevant Norwegian authorities and to consents by the Gassled JV partners, and is expected to close in Q4 2011.
