Aviva - US$400 million US retail debt issue

Slaughter and May, working as an integrated team with Dewey & LeBoeuf LLP, advised Aviva plc (the "Company") on its issue of US$400 million 8.25% Capital Securities due 2041 (the "Notes") in the US market. The Notes were issued pursuant to an effective shelf registration statement that has been filed with the US Securities and Exchange Commission. The terms and conditions of the Notes include certain currently ascertainable Solvency II related features for tier 2 debt and are intended to be counted towards the Company's regulatory capital resources.
