Standard Chartered - Debt Issuance Programme

On 10 November 2010, Standard Chartered PLC, ("SCPLC"), Standard Chartered Bank ("SCB"), Standard Chartered Bank (Hong Kong) Limited ("SCBHK") and Standard Chartered First Bank Korea Limited ("SCFB") issued a prospectus for a US$35,000,000,000 debt issuance programme. Under the programme, SCPLC, SCB and SCBHK are permitted to issue notes to be traded on the London Stock Exchange and the Hong Kong Stock Exchange. Application will be made for notes to be issued by SCFB to be accepted for trading on the Singapore Stock Exchange. Notes may be issued as senior or subordinated debt. JPMorgan Cazenove and Standard Chartered Bank are the Joint Arrangers for the programme.

Slaughter and May (London and Hong Kong) advised SCPLC, SCB (in its capacity as issuer), SCBHK and SCFB in relation to English and Hong Kong law. Singapore law advice was provided by Allen & Gledhill, Republic of Korea law advice was provided by Kim & Chang and US law advice was provided by Sullivan & Cromwell.
