Ocado Group - Proposed IPO

Slaughter and May is advising Ocado Group plc, a leading online grocer, on its intention to proceed with an initial public offering of its ordinary shares. The shares will be offered to institutional investors in the UK and elsewhere, to all employees and officers of Ocado and to customers who have spent more the £300 with Ocado between 01 January 2010 and 24 June 2010.

Application will be made for the shares to be admitted to the premium listing segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange.

The  IPO which was announced on 24 June 2010 will comprise the issue of new shares which will provide Ocado with net proceeds of approximately £200 million, and the sale by certain shareholders of existing shares, expected to be of an amount similar to that expected to be raised by the company.

Goldman Sachs International, J.P. Morgan Cazenove and UBS Limited are acting as Joint Sponsors, Joint Global-Coordinators and Joint Bookrunners.
