BOCI, Deutsche Bank and Morgan Stanley - US$600 million placing of shares in CST Mining Group Limited and acquisition of mining assets

Slaughter and May advised BOCI Asia Limited, Deutsche Bank AG, Hong Kong Branch, and Morgan Stanley & Co. International plc as placing agents in relation to the placing of 23.4 billion new shares in CST Mining Group Limited (formerly known as China Sci-Tech Holdings Limited) (CST). The placing raised US$600 million (approximately HK$4.68 billion). The placing was announced on 25 March 2010 and completed on 25 June 2010.

Slaughter and May also advised Morgan Stanley and BOCI as financial advisers to CST on its acquisition of a Toronto-listed company with copper mining assets in Peru and advised Morgan Stanley and Deutsche Bank as financial advisers to CST on its acquisition of an Australian company with copper mining assets in Australia.

The proceeds of the placing will be used in part to indirectly finance the acquisitions, through the repayment of short term bridge financing raised by CST.

CST is an international copper mining company headquartered in Hong Kong and is listed on the Main Board of the Hong Kong Stock Exchange.
