GSK - Strategic alliance with Intercell to develop and commercialise innovative needle-free patch-based vaccines

Slaughter and May is advising GlaxoSmithKline Biologicals in relation to its strategic alliance with Intercell AG to accelerate the development and commercialisation of needle-free, patch-based vaccines. Under the terms of the agreement, GSK will make an up-front cash contribution of EUR 33.6 million, in addition to a staggered equity investment of up to EUR 84 million in Intercell. The agreement will include Intercell’s candidate vaccine for travellers’ diarrhoea and an investigational single application pandemic influenza vaccine, as well as the use of Intercell's patch technology for other vaccines in GSK’s portfolio.

The transaction was announced on 11 December 2009.
