Regus - New Jersey incorporated, Luxembourg tax resident, London-listed holding company

Slaughter and May, together with Mourant du Feu & Jeune (Jersey) and Elvinger, Hoss & Prussen (Luxembourg), is advising Regus Group plc, the world’s largest provider of outsourced workplaces, on proposals announced on 29 August, 2008 relating to the re-organisation of its corporate structure and tax residence pursuant to a scheme of arrangement under sections 895 to 899 of the Companies Act 2006. Under the proposals a new holding company, Regus plc, which will be incorporated in Jersey and have its head office in and be tax resident in Luxembourg, will be established for the Regus group. Regus plc will be listed on the London Stock Exchange. After the scheme becomes effective, Regus Group plc and Regus plc will also be implementing proposals in relation to reductions of capital.
