American Capital - Offer for European Capital

Slaughter and May is advising American Capital on its recommended all share offer for European Capital. American Capital already owns approximately 67.7% of the issued share capital of European Capital.

American Capital, with $17 billion in capital resources under management, is the only private equity fund and the largest alternative asset management company in the S&P 500. European Capital is an investment company for pan-European equity, mezzanine and senior debt instruments with capital resources of approximately EUR 2.8 billion.

The offer, which was announced today values European Capital at approximately EUR 385 million.
