Slaughter and May advised Reliance Brands Limited on the acquisition of the entire issued share capital of Hamleys Global Holdings Limited from C. Banner International Holdings Limited, for an enterprise value of GBP 67.96 million. Hamleys Global Holdings Limited, together with its subsidiaries, is a retailer of high-end toys, under the well-known Hamleys Brand. It is based in the United Kingdom and operates a global franchising model. Reliance Brands Limited is a Mumbai-based subsidiary of Reliance Industries Limited, India’s largest publicly-listed company, with a mandate to launch and build brands in the premium-to-luxury segment across apparel, footwear and lifestyle businesses.
Completion is expected to occur later this year.
Slaughter and May worked alongside Reliance Brands’ Indian counsel, Khaitan & Co, Mumbai.
