Slaughter and May is advising Aston Martin Holdings (UK) Limited on its potential intention to undertake an initial public offering

29 Aug 2018

Slaughter and May is advising Aston Martin Holdings (UK) Limited (“Aston Martin Lagonda”), the iconic producer of hand-crafted luxury sports cars, on its potential intention to undertake an initial public offering (the "IPO") and the publication of a registration document. Pending a decision to proceed with its intention to IPO, a newly incorporated company would become the parent of the Group and would apply for admission of ordinary shares to the premium listing segment of the Official List and to trade on the Main Market of the London Stock Exchange. The potential intention to undertake an IPO was announced together with Aston Martin Lagonda’s results for the six months ending 30 June 2018.

Should Aston Martin Lagonda proceed with its intention to IPO, it is intended that the offer would involve a secondary sell down of ordinary shares by existing shareholders to institutional investors and certain eligible Aston Martin employees and customers, seeking to achieve a free float of at least 25%; and that a Prospectus containing full details of the offer would be published on or around 20 September 2018.

Slaughter and May is supporting Aston Martin Lagonda’s V.P. and General Counsel, Michael Marecki, on this transaction.

Simpson Thacher & Bartlett LLP is advising Aston Martin Lagonda on matters of U.S. law.
